Terms of Service

With Him Healing is owned and operated by Ella Med Charitable Org Corp, a 501(c)(3) educational nonprofit ("Ella Med," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the With Him Healing website, located at withhimhealing.com, and all products and services offered on it (the "Service"), including the free interactive Bible study workbooks, online Bible studies, in-person Bible studies, books, and events at which Daisy Rice is invited to speak. By creating an account, making a purchase, starting a free trial, registering for a study or event, or otherwise using the Service, you agree to be bound by these Terms.
1. Eligibility
There is no minimum age requirement to use the Service. If you are using the Service on behalf of a minor or as a minor, you represent that you have the appropriate permission or capacity to enter into these Terms.
2. The Service
With Him Healing offers faith-based Bible studies and related materials. This includes interactive Bible study workbooks you can read, write in, save, and print; online Bible studies; in-person Bible studies; books; and events at which Daisy Rice is invited to speak.
At this time, the Bible studies and books on the Service are offered free of charge. Ella Med may in the future offer paid memberships, materials, studies, or events. Where any part of the Service is offered for a fee, the price, any trial period, and any recurring billing will be clearly stated at the point of purchase, and Sections 3 through 5 below will apply to that purchase. Membership services, where offered, are billed on a recurring basis. Books, individual studies, and event registrations, where offered for a fee, are one-time purchases granting access to their respective materials or events.
The Service consists of devotional, educational, and organizational tools. It is not a substitute for professional medical, mental-health, legal, or financial advice, and it is not a church, counseling practice, or healthcare provider. We do not guarantee any particular spiritual, emotional, physical, or personal outcome from use of the Service.
3. Free Trial
Where a subscription product is offered with a free trial, new members receive the trial period stated at sign-up (for example, 3 days). If you do not cancel before the end of the trial period, your payment method on file will be automatically charged the then-current membership price, and your subscription will continue on a recurring monthly basis until canceled. One-time purchases are not subject to a trial or recurring billing.
4. Billing and Cancellation
Subscription products, where offered, are billed monthly. You may cancel a subscription at any time through your account settings or by reaching us through our contact form. Cancellation stops future billing; it does not entitle you to a refund for the current billing period (see Section 5). If you cancel, you will retain access to the Service through the end of the period you have already paid for. One-time purchases have no recurring billing to cancel.
5. No Refunds
All payments are final. We do not offer refunds, in whole or in part, for any membership period already paid, including partial months or unused time following cancellation, or for any one-time purchase or event registration. This applies regardless of your reason for canceling or your level of use of the Service during that period. Donations to Ella Med are gifts and are not refundable.
6. Acceptable Use
When using the Service, you agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems;
- Copy, scrape, resell, sublicense, or redistribute Service content, including the Bible studies, workbooks, and books, for commercial purposes outside your individual or group study use;
- Interfere with or disrupt the integrity or performance of the Service;
- Use automated means (bots, scrapers) to access the Service without our prior written consent;
- Misrepresent your identity or provide false information when creating an account or registering for a study or event;
- Post or share content through the Service that is abusive, harassing, hateful, or that violates the rights of others.
7. Account Termination
We reserve the right to suspend or terminate your account, without refund, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or misused the Service in a way that harms Ella Med, other members, or third parties. You may also close your account at any time by contacting us.
8. Third-Party Services and Links
The Service may include data, links, or content from third parties, and may use third-party providers such as Stripe (payments and donations), Supabase (accounts and data storage), Tally (contact forms), and video or meeting platforms for online studies. We are not responsible for the accuracy, legality, or content of third-party websites or services, and your interactions with those third parties are solely between you and that third party.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any particular outcome will result from your use of the Service.
10. Limitation of Liability
To the fullest extent permitted by law, Ella Med Charitable Org Corp, its officers, employees, volunteers, speakers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising out of or related to your use of, or inability to use, the Service, or your attendance at any study or event. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the three (3) months preceding the claim.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page with a new "Last Updated" date. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.
13. Binding Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
13.1 Agreement to Arbitrate.
You and Ella Med Charitable Org Corp agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Ella Med (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before or after the date you agreed to these Terms) shall be resolved exclusively through final and binding arbitration, rather than in court, except as set forth in Section 13.6 below.
13.2 Arbitration Rules and Administration.
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, to the extent those rules are consistent with this Section. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. The arbitration will be conducted by a single, neutral arbitrator. The arbitrator, and not any federal, state, or local court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.
13.3 Location and Procedure.
Unless you and Ella Med agree otherwise, the arbitration will be conducted in the county in Texas where Ella Med is located, or, at your election, by telephone or videoconference. If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic or video hearing, or by an in-person hearing as established by the AAA rules. If your claim exceeds $10,000, the right to a hearing will be determined by the AAA rules.
13.4 Class Action and Jury Trial Waiver.
YOU AND ELLA MED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both you and Ella Med agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If a court decides that this class action waiver is unenforceable as to a particular claim or request for relief, that claim or request must be brought in court and severed from any arbitration. YOU AND ELLA MED ALSO WAIVE ANY RIGHT TO A JURY TRIAL to the fullest extent permitted by law.
13.5 Arbitration Costs.
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules. Where consistent with those rules, Ella Med will pay costs and fees to the extent required to make this arbitration agreement enforceable. Each party will bear its own attorneys' fees and costs unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award fees consistent with applicable law.
13.6 Exceptions to Arbitration.
Notwithstanding the foregoing, either party may: (a) bring an individual action in small claims court for disputes within that court's jurisdiction, in lieu of arbitration; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property or confidentiality obligations, pending completion of arbitration.
13.7 Opt-Out Right.
You may opt out of this arbitration agreement by sending written notice through our contact form within thirty (30) days of the date you first agree to these Terms. Your notice must include your name, the email address associated with your account (if any), and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, neither you nor Ella Med will be required to arbitrate, but all other provisions of these Terms, including Section 12 (Governing Law), will continue to apply, and disputes will be resolved in the state or federal courts located in Texas.
13.8 Severability.
If any portion of this arbitration agreement is found to be unenforceable or unlawful for any reason, that portion will be severed, and the remainder of the arbitration agreement will continue to be enforceable. If a court finds that the class action waiver in Section 13.4 is unenforceable as to a particular claim, that claim (and only that claim) must be brought in court and any other claims remain subject to arbitration.
13.9 Survival.
This arbitration agreement survives termination of your account, cancellation of any membership, and any termination of these Terms.
